Torex Semiconductor Ltd. (Tokyo Japan: President, Takeshi Kimura, TSE Prime: 6616) held a ceremony on December 18 to celebrate the execution of a share transfer agreement with PANJIT International Inc. (“PANJIT”), which was disclosed on November 17. Under this agreement, Torex will transfer 95% of the shares it holds in its consolidated subsidiary, TOREX VIETNAM SEMICONDUCTOR CO., LTD. (“TVS”), to PANJIT.
With a shared commitment to coexistence and co-prosperity, both companies confirmed their intention to continue cooperative activities aimed at further developing the Vietnam plant, contributing to society, and generating sustainable value. Accordingly, Takeshi Kimura, President and CEO of Torex Semiconductor Ltd., and Jeff Fang, President and CEO of PANJIT INTERNATIONAL INC., signed a document formalizing their cooperative relationship (Photo 1). Torex Semiconductor intends to continue working closely with PANJIT to ensure stable production and the acquisition of new technologies going forward.

Reasons for the Share Transfer Agreement
As a consolidated subsidiary of Torex, TVS has been engaged in the package assembly process (back-end process) for Torex products. In order to enhance corporate value, Torex has decided to concentrate its valuable management resources on wafer design and wafer fabrication processes (front-end processes), which are the core sources of its competitiveness.
Regarding package assembly processes, Torex determined that transferring all or part of its equity interest in TVS to PANJIT—a global IDM manufacturer of semiconductor products—would be the best approach. This collaboration enables Torex to leverage PANJIT’s manufacturing technology capabilities together with Torex’s design and development strengths as a fabless manufacturer, thereby generating mutual synergies and establishing a sustainable cooperative relationship.
As disclosed on February 7, 2025, Torex first entered into a basic agreement with PANJIT, and after reaching agreement on various terms and conditions, has now concluded this share transfer agreement.
Semiconductor packaging technologies are becoming increasingly sophisticated, with the emergence of next-generation packages featuring higher integration. While continuing to focus management resources on wafer design and manufacturing, which form the foundation of Torex’s analog semiconductor technologies, Torex will address the advancement of packaging technologies and overall competitiveness by building cooperative relationships with partners possessing strong manufacturing capabilities, rather than relying solely on in-house resources.
